• “Products” refers to all digital products offered by Emporiant, including but not limited to LUTs (Look-Up Tables), Lightroom Presets, eBooks, Frameworks, Systems, Guidelines, Standard Operating Procedures (SOPs), and Software applications.
• “Website” refers to emporiant.com and all associated subdomains and web pages.
• “License Agreement” refers to the Emporiant Digital Product License Agreement that governs the use of purchased Products.

2. ACCEPTANCE OF TERMS

By accessing or using our Website or purchasing any Product, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree to these terms, you must immediately discontinue use of our Website and refrain from purchasing any Products.

Your continued use of the Website after any modifications to these Terms & Conditions constitutes acceptance of those changes.

3. ELIGIBILITY

You must be at least 18 years of age to purchase Products or enter into a binding agreement with Emporiant. By using our Website or making a purchase, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms & Conditions.

If you are accessing the Website or purchasing Products on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

4. PRODUCTS & SERVICES

4.1 Product Categories

Emporiant offers two primary categories of digital products:

• Static Digital Products: LUTs, Lightroom Presets, eBooks, Frameworks, Guidelines, SOPs, and Systems that operate under a Use-Based License. No activation required.
• Software & Applications: Software tools, plugins, and applications requiring license key activation via our License Activation API. Internet connection required for activation and may be required for updates.

4.2 Product Descriptions

We make reasonable efforts to accurately describe our Products on the Website. However, we do not warrant that product descriptions, images, specifications, or other content are accurate, complete, reliable, current, or error-free.

4.3 Product Availability

We reserve the right to discontinue any Product at any time without notice. Prices and availability are subject to change without prior notification.

5. PURCHASES & PAYMENTS

5.1 Pricing

All prices are displayed in the currency specified on the product page and are subject to change without notice. The price applicable to your purchase is the price displayed at the time of transaction completion.

5.2 Payment

Payment must be made in full at the time of purchase using one of our accepted payment methods. We use third-party payment processors to handle transactions securely. By providing payment information, you represent that you are authorized to use the payment method provided.

5.3 Order Confirmation

Upon successful payment, you will receive an order confirmation via email. This confirmation does not signify our acceptance of your order but merely acknowledges receipt of your purchase.

5.4 Taxes

You are responsible for all applicable taxes, duties, and governmental charges associated with your purchase, except for taxes based on our net income.

6. LICENSE & USAGE RIGHTS

All Products purchased from Emporiant are subject to the Emporiant Digital Product License Agreement, which is incorporated into these Terms & Conditions by reference. Key provisions include:

• Non-exclusive, non-transferable, revocable license for personal and commercial use
• No redistribution, resale, sublicensing, or sharing of Products
• No reverse engineering, decompilation, or derivation of source code
• One license per user (team licenses available separately)
• Software license keys are unique and must not be shared or transferred
• Activation-based Software Products require internet connectivity for license validation

7. REFUND POLICY

Due to the digital nature of our Products, all sales are final. Refunds are issued solely at our discretion and in accordance with our published Refund Policy, available at emporiant.com.

Refund requests must be submitted within the timeframe specified in our Refund Policy. Violations of the License Agreement, including unauthorized distribution or license key misuse, automatically disqualify the purchaser from any refund eligibility.

8. INTELLECTUAL PROPERTY

All content on the Website and all Products, including but not limited to text, graphics, logos, images, software code, documentation, and other materials, are the exclusive property of Emporiant e.U. and are protected by international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from our Website or Products except as expressly authorized in the License Agreement.

9. USER ACCOUNTS

If you create an account on our Website, you are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that your account information is accurate and up-to-date

We reserve the right to suspend or terminate your account at our discretion if we believe you have violated these Terms & Conditions or engaged in fraudulent or unlawful activity.

10. PROHIBITED CONDUCT

You agree not to:

• Use the Website or Products for any unlawful purpose or in violation of these Terms & Conditions

• Circumvent, disable, or interfere with security features or digital rights management systems

THE WEBSITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Website will be uninterrupted, secure, or error-free
• Products will meet your specific requirements or expectations
• Products will be compatible with all hardware, software, or operating systems
• Any defects or errors will be corrected
• The License Activation API will be available at all times

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMPORIANT E.U., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Cost of substitute products or services
• Software malfunctions, rendering errors, or output quality issues
• Damages resulting from unauthorized access to your account or data
• Damages arising from use or inability to use the Website or Products
• Damages resulting from API downtime or service interruptions

IN ALL CASES, OUR MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Emporiant e.U., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from:

• Your use or misuse of the Website or Products
• Your violation of these Terms & Conditions or the License Agreement
• Your violation of any third-party rights, including intellectual property rights
• Any unauthorized or fraudulent use of your account

15. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms & Conditions at any time. Material changes will be posted on this page with an updated “Effective Date.” Your continued use of the Website or Products after such changes constitutes acceptance of the revised terms.

16. TERMINATION

We reserve the right to suspend or terminate your access to the Website or revoke your Product licenses at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms & Conditions or the License Agreement
• Fraudulent or unlawful activity
• Non-payment or chargeback disputes
• Abuse of our systems or services

Upon termination, you must immediately cease all use of the Website and Products and delete all copies in your possession.

17. GOVERNING LAW & DISPUTE RESOLUTION

These Terms & Conditions shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising from or relating to these Terms & Conditions, the Website, or any Product shall be subject to the exclusive jurisdiction of the competent courts of Graz, Austria.

We reserve the right to seek injunctive or equitable relief in any jurisdiction to prevent unauthorized use or distribution of our Products.

18. SEVERABILITY

If any provision of these Terms & Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible.

19. ENTIRE AGREEMENT

These Terms & Conditions, together with our Privacy Policy and Digital Product License Agreement, constitute the entire agreement between you and Emporiant regarding your use of the Website and Products, and supersede all prior agreements and understandings.
